TERMS AND CONDITIONS OF USE

1. OWNERSHIP

This website is owned and maintained by Food Directions Inc. (FDI), an Ontario incorporation in Canada, for Tinkyada® (a registered trademark) Rice Pasta (TRP), for information on and for communication with people interested in Tinkyada rice pastas.

The following are the terms and conditions for using this website and all associated websites linked to this website by FDI (“the Site”), and your use of the Site represents your full and complete agreement to its terms of conditions and to our Privacy Policy. If you do not agree to any of the terms and conditions, please leave the web-site. The terms and conditions for using the Site and our Privacy Policy may change from time to time and anytime at our sole discretion, and this website will display the currently in use terms and conditions. FDI reserves the right at its sole discretion to make changes. modifications, additions, deletions in any aspect to the terms and conditions and to the Privacy Policy. Your continuing to use the Site for any purpose will mean that you accept and agree entirely to any and all of the changes.

2. MATERIALS AND CONTENTS

FDI owns all the contents of the Site, including all texts, graphics, photographs, artwork, sounds, music, computer coding, applications, mottos and all kinds of expressions and creativity. Unless express prior written consent is obtained from FDI, no part of the Site and/or its materials and contents may be copied, reproduced, replicated, uploaded, posted, displayed, arranged, distributed, transmitted, encoded or used for any commercial purpose; such actions constitute a violation of FDI’s copyright, trademark and intellectual property rights. User of the Site is assumed to understand the Site contains copyright and trademark contents under protection of their respective laws and that all trademarks are the property of the respective owners.

You agree that all materials and contents, feedbacks, concepts brought by you to the Site are non-confidential and that they can be freely used by FDI its affiliates, officers, directors, and assigns at any time in an unrestricted basis.

3. INFORMATION

All information provided in the Site are for REFERENCE only and may contain inaccuracies, incompleteness, changes that are not timely updated, and unintended misrepresentations, and user of the Site should be aware of possible deficiencies and incompleteness and should not rely solely on the Site’s content, express or implied, for conducting any matter and/or treat such information as a substitute for expert and professional consultation.

4. SECURITY

FDI will try its best and as reasonably can to protect any information and contents supplied to the Site (where applicable), but with the inherent nature and context of the internet and its associated risk of use, FDI cannot guarantee use of the Site against any damages however arising. By using the Site, the user UNDERSTANDS and AGREES that using the Site is at the USER’S SOLE AND OWN RISK.

5. TERMS OF SALE

FDI reserves the sole right of making changes without prior notice to sale terms and conditions, including but not limited to prices and product specifications, cancelling a purchase order, non-delivery, limiting sale quantities, refusal of service and dis-associating with user if in FDI’s sole discretion such actions will protect is interest.

For all purchases through the Site, taxes and duties are for account of purchaser.

Damages arising from purchases will be limited to the purchase price of the merchandise plus the taxes and duties relating to the purchase and levied at the time of the purchase.

6. USER DELIVERY OF MATERIALS AND CONTENTS

User warrants that any submission of materials or contents to the Site will not be in violation of jurisdiction in Ontario Canada and in the user’s country, and the receiver’s in the case of a third-party delivery of purchases. User also warrants that such submission will not be of infringing upon or violate intellectual property and rights, harassing, insulting, slandering, intimidating, derogatory, abusive, containing information virus or information-hacking nature, misleading, discriminatory based on gender, sexual orientation, age, ethnicity, race, religion or disability.

We reserve our right to terminate any agreement and /or use of the Site by anyone which in our sole discretion we deem not to be in our interest for continuing.

7. INDEMNITY

You agree to indemnify, defend and hold harmless FDI, its affiliated companies and associates, its officers, directors, employees, agents, licensors, and suppliers harmless and from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, HOWEVER ARISING, related to your use of the Site.

8. SEVERABILITY

In case any one or more of the provisions in this Terms of Use agreement shall be held invalid, illegal or unenforceable in any respect for any reason, the validity, legality and enforceability of any such provision in every other respect and of the remaining provisions shall not in any way be affected or impaired thereby, it being intended that all of the provisions hereof shall be enforceable to the full extent permitted by law.

9. DISPUTES

You agree that any matters arising from the use of the Site will be governed in accordance with the laws of Ontario Canada. Your using the Site, and continuing using it, constitutes your waiver to object to using Ontario Canada jurisdiction for settling any disputes arising.

You agree that you will in good faith take immediate action to minimize and mitigate any adverse impact however arising should there be a cause for a dispute.

You agree that any claim must be brought within one year after the cause of action, or such claim or cause of action is ceased and barred after this one year period.

10. NO REPRESENTATION

There are no covenants, representations, agreements, warranties or conditions, whether express or implied, collateral or otherwise, in any way relates to this TERM OF Use agreement except those set forth in this agreement.

THE INFORMATION IN THE Site INCLUDING THIS TERMS OF USE IS SUBJECT TO CHANGE AT ANY TIME AND WITHOUT PRIOR NOTICE.
